Get Business Setup Cost in Dubai

With the UAE continuing to solidify its position as a global leader in innovation and sustainability, Masdar Free Zone in Abu Dhabi is now one of the most innovative and strategic business locations. Located in Masdar City, which is a model city for urban sustainability, the free zone itself is specifically meant for businesses in sectors of clean technology, renewable energy, artificial intelligence, smart mobility, and research-intensive industries.

Whether you're an entrepreneur venturing into a startup, a freelancer, or a multinational conglomerate, business setup in Masdar Free Zone has numerous advantages, from full foreign business ownership and tax-free income to connectivity to state-of-the-art infrastructure and ease of access to high-quality talent.

Why Masdar Free Zone?

There are several compelling reasons why entrepreneurs and investors are turning to Masdar Free Zone for their business activity. Most importantly, its strategic location, just minutes from Abu Dhabi International Airport, offers better global connectivity, and it is the perfect operations hub for the Middle East, Africa, Europe, and Asia. Moreover, Masdar Free Zone is not just a regulatory body, it is part of a larger vision for sustainable development.

The free zone is situated within Masdar City, the world's first eco-city powered by renewable energy and constructed through smart urban planning. For those businesses that are innovation-focused, this is the motivational and invigorating environment that few locations can provide.

Operationally, Masdar Free Zone provides all of the hallmark benefits that UAE free zones are renowned for. These include 100% foreign ownership, full repatriation of capital and profits, absence of import/export duties, and no personal income tax. In addition, the organizations within the zone do not have to remit any corporate tax, thus making it an inexpensive and investor-friendly area. The second major advantage is the facility of dual licensing, wherein companies can expand their business into the Abu Dhabi mainland without setting up a separate entity.

Types of Licenses Available

Masdar Free Zone provides a hassle-free licensing structure for various models of businesses. There are different types of licenses depending on your preferred activities. For experts offering consultancy, IT, or other business-related services, the service license is ideal. When your business activities involve physical commodities, there is the trading license to manage import, export, and free zone distribution.

Light manufacturing, assembling, and packaging businesses have the industrial license choice. There's also a holding company license for those who would like to have shares in other entities or manage intellectual property. For freelancers and professionals alone, the freelancer permit offers a convenient, affordable way of trading legally in your own name.

For most individuals, you can combine a number of similar activities under one license, allowing you more freedom of operation. But make sure that your proposed activity is not subject to other approvals by the authorities to its industry.

Step-by-Step Business Setup Process

Setting up a business in Masdar Free Zone is a formal but relatively simple process, especially in comparison to mainland business setup.

Step 1: Choose a Business Activity

The first step is deciding on the correct business activity. Masdar Free Zone boasts a long list of pre-approved activities, ranging from environmental consultancy and software development to AI research and biotech services. Your selected activity will determine the type of license you need and any regulatory clearances involved.

Step 2: Choose an Ownership Structure

Then you will need to choose a legal form for your business. The most common is the Free Zone Limited Liability Company (FZ-LLC), which can be formed with one shareholder or multiple partners. Alternatively, if you already have a business, you can open a branch of a local or foreign company within Masdar. For individual professionals, a freelancer permit can be applied for, which allows you to work as an independent contractor legally.

Step 3: Reserve your Business Name

Once you have completed your legal form and business operations, you should book your trade name. This name must be as per the UAE naming rules, avoiding religious, political, or obscene terminology, and ensuring that it is not already in use.

Step 4: Apply for Business License

Next, following the reservation of your name, you will apply for your business license and include necessary documents.

These typically include passport copies of the shareholders and manager, passport-sized photos, proof of residence, and (if required) a brief business plan. If a corporate entity is one of the shareholders, you will also need to submit the company’s incorporation documents, board resolution, and Memorandum & Articles of Association.

Step 5: Lease an Office Space

Once your application is reviewed and approved, you will be asked to lease a workspace within Masdar Free Zone. Unlike some of the other free zones, Masdar requires all businesses to have a physical office or desk. You can choose from flexi desks (ideal for a one-person entrepreneur or freelancer) through to executive suites and dedicated offices, as well as light industrial units for manufacturing or logistics operations. The type of space you lease can also influence your visa eligibility, as larger offices can handle higher visa quotas.

Step 6: Receive the License and Initiate Bank Account Opening

After the lease agreement is finalized, you will receive your trade license, certificate of incorporation, lease agreement, and shareholder certificates. With these in hand, you are now a licensed company in Masdar Free Zone and can proceed to open a corporate bank account. UAE banks may require additional documentation such as a business plan, proof of address, or reference letters, especially for new companies, so it is advisable to consult a business setup expert or advisor to ensure a smooth process.

Visa Application and Residency

One of the major benefits of setting up in a free zone like Masdar is the ability to apply for UAE residence visas for yourself, your employees, and dependents. The number of visas you’re eligible for depends on the size of your office and your business activity. The visa application process includes several stages: entry permit issuance, medical testing, Emirates ID biometrics, and visa stamping. Masdar Free Zone makes all this possible, and most of the visas are two years long with the possibility of renewal once they lapse.

Also to be noted is that medical insurance is mandatory for all UAE residents, including free zone visa holders. While Masdar does not provide insurance, there are a number of insurance companies with packages that are ideal for business owners and freelancers.

Costs of Setting up a Business in Masdar

Although Masdar Free Zone provides competitive rates, one needs to see the complete setup cost breakdown. On average, a service or trading license’s cost starts from AED 10,000 per year. A flexi desk lease starts from AED 5,000, and bigger offices or industrial units are charged depending on size and location. Company application fees start from AED 5,000, and each UAE residence visa (Emirates ID and medical) cost starts from AED 3,000 per person.

Generally, a one license, single visa, and flexi desk arrangement cost starts from AED 24,000. While this will seem to be a huge expenditure at first glance, long-term tax savings, ease of management, and international reputation always repay the investment.

Required Documents Checklist

In order to ensure a smooth application, have the below documents available:

  • Passport copy of manager and shareholders
  • Passport-size photographs (white background)
  • Proof of address (e.g. utility bill or bank statement)
  • Updated resume or CV
  • Business plan (optional but useful)
  • Corporate documents if the shareholder is a company (MOA, license, board resolution)

All non-UAE papers have to be notarized and attested in their country of origin, and perhaps at the UAE embassy as well. This does require some time, so allow for that.

Key Advantages of Masdar Free Zone

Masdar Free Zone stands out because it is a forward-looking entity. While other free zones are for any type of business, Masdar is focused on innovation, technology, and sustainability. The environment fosters collaboration among similar businesses, researchers, and government-backed institutions such as the Khalifa Fund and IRENA (International Renewable Energy Agency). The free zone also has large industry events and offers access to financing, networking, and incubation support.

Another distinguishing feature is the dual license facility that allows firms to operate both in the free zone and Abu Dhabi mainland without the need to have two separate entities. This is a major advantage for companies that want to expand business while at the same time enjoying free zone benefits.

Potential Challenges to Consider

Although the Masdar Free Zone is beneficial in numerous ways, there are a few things to bear in mind. For instance, it does call for a physical lease of an office, so remote or virtual options are not allowed. The focus on sustainability means that heavy industrial or polluting operations are not an option. Banks in the UAE also tightened up compliance measures, so it can take a few weeks to open a corporate account and may include some extra documentation.

Moreover, some business activities, mainly in the finance, health, or education sectors, will require external regulatory approvals, which will be an addition to your setup time. Hiring a business setup consultant can help guide you through these challenges effectively.
